Conestoga-Rovers & Associates (CRA) and GHD announced today that they have entered into an agreement to merge the two companies. A key feature of the merger is that all ongoing employee shareholders in CRA will become shareholders of GHD. The transaction is subject to shareholder and regulatory approval, as well as other customary closing conditions. The transaction is expected to close in July 2014.

Once complete, this will be one of the largest true mergers to have occurred in the engineering and environmental industry, with the two firms combining resources, pooling their equity interests, and each company’s shareholders becoming mutually dependent on each other for the creation of value over time.

CRA is a 3,000-person multi-disciplinary engineering, environmental, construction, and information technology (IT) services firm. Since 1976, CRA has provided superior quality services principally to the private and regulated sectors in a responsive, practical, and cost‐effective manner. CRA has over 100 offices in the United States, Canada, and the United Kingdom and has delivered successful outcomes for our clients in over 60 countries.

In making the announcement, GHD CEO Ian Shepherd stated, “CRA possesses a client‐focused, high-integrity culture and an operating philosophy that proves to be highly compatible with GHD's. CRA's strengths in the private sector in North America are an excellent fit with our strategic plan, and GHD's global footprint and technical skills fill much of CRA's strategic objectives. We see only positive opportunities with clients and geographic locations. GHD is thrilled to be in a position to be able to help this potential come to life.”

Ed Roberts, CRA's President, said, "CRA was seeking a way to leverage our 38 years of private sector engineering and environmental services into a more diverse business with a global presence while staying staff-owned. We found a merger partner that has an overall philosophy, business approach, and work ethic similar to CRA's. It was not a difficult decision to find a way for GHD and CRA to become one organization. We believe that this merger will be an excellent springboard for further growth and opportunity for our employees."

GHD is one of the world’s leading engineering, architecture, and environmental consulting companies. Established in 1928, GHD employs more than 5,500 people across five continents. GHD serves clients in the global markets of water, energy and resources, environment, property and buildings, and transportation.
